Sale and Use Agreement Terms
BY COMPLETING YOUR PURCHASE, YOU AGREE TO THE FOLLOWING TERMS AND CONDITIONS:

INTRODUCTION

These Terms and Conditions govern your access to and use of our online courses, educational materials, recordings, digital downloads, and access to our online community on Facebook. This agreement also extends to our social media channels, blogs, emails, and any other forms of communication or services provided by us (collectively referred to as the “Services”).

DEFINITIONS

"Digital Products" refers to downloadable content, including educational materials and recordings.
"Community" refers to the online community on a third-party platform.
"Services" refers to the online course, educational materials, recordings, and access to the Community.

ACKNOWLEDGEMENT & ACCEPTANCE OF TERMS:

By accessing, downloading, or using any of our digital products or community, you, the user, acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not access or use our digital products or any of our services.
These Terms in part or in whole may be changed, revised, or updated at any time with or without prior notice to you. Any update to these Terms may be released on our program website page. It is the responsibility of the user to confirm updates from time to time. By continuing the purchase of this digital product, you agree to this clause or burden on responsibility to proactively check for changes. You also acknowledge that at no time will it be the Company’s responsibility to notify you of any change to the Terms of this Agreement.

REPRESENTATIONS

By downloading our digital product and accessing our community/platform, you agree to comply with the rules and regulations of the platform, and state, and federal laws. You also agree to comply with all intellectual property laws and not to infringe upon third-party intellectual property rights. A violation of this clause or any term of this Agreement may result in immediate termination and removal from our Community without any recourse or refund from us.

NO REFUND POLICY

This digital download and access to our online course and community are original products created by the author. We kindly ask that you respect the considerable effort and time invested in developing this product, which is intended for your personal use only. Therefore, we do not offer refunds after purchase. Should you have any complaints or inquiries, please contact our customer service at Hello@charlotteugc.com so we can address your concerns and enhance your experience.
For clarity, we do not offer any refunds at any time. We understand that disputes may occasionally be mistakenly submitted to a banking institution. You agree and acknowledge that if you mistakenly dispute this purchase with your banking institution, you will immediately cancel the dispute and cooperate with our efforts to resolve the matter. If there are any fees associated with resolving the dispute, including attorneys' or banking fees, you agree to be responsible for reimbursing these fees. In rare cases, we may refer collection efforts to a collection agency.

You are strictly prohibited from altering, publishing, transmitting, participating in the transfer or sale of, creating derivative works from, distributing, displaying, or reproducing, any part of this site, its content, services, or course materials without our explicit written consent. The user further acknowledges that the outcomes or results from using the digital products, services, or content are subject to various external factors, personal abilities, and market conditions beyond the control of Charlotte Arsenault INC. Therefore, no express or implied warranties or guarantees are made regarding any specific outcome, success, or profitability related to the use of the products or services provided under this Agreement.

ALL DIGITAL PRODUCTS, SERVICES, AND CONTENT PROVIDED BY CHARLOTTE ARSENAULT INC. ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The user agrees to use the digital products, services, and content at their own risk and discretion and acknowledges that the responsibility to assess the potential value and impact of the digital products, services, or content rests solely with the user.

LIMITED LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHARLOTTE ARSENAULT INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF CHARLOTTE ARSENAULT INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF OR IN CONNECTION WITH OUR DIGITAL PRODUCTS, SERVICES, OR THIS AGREEMENT.

MISCELLANEOUS

Confidentiality
You agree to maintain the confidentiality of all information provided to you by us. You agree not to disclose, share distribute, reproduce or use this confidential information for any purpose other than for the use of our services as set out in this. Confidentiality shall survive the expiration or the termination of this Agreement.

Non-Disparagement

The parties agree to refrain from making any statements, whether written or oral, that negatively affect or disparage the reputation, practices, or conduct of Charlotte Arsenault Inc., its employees, directors, officers, agents, and affiliated entities. This provision shall survive the termination or expiration of this Agreement.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Charlotte Arsenault INC., its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the digital products, including, but not limited to, any use of the digital product's content, services, and products other than as expressly authorized in these Terms and Conditions or your use of any information obtained from the digital products. This indemnification obligation will survive the termination of your use of the digital products and your adherence to these Terms and Conditions.

ENTIRE AGREEMENT

This Agreement, including all terms, conditions, and policies herein referenced or linked, constitutes the full and exclusive understanding and agreement between you and Charlotte Arsenault INC. regarding your use of and access to the digital products and services and supersedes all prior oral or written agreements, understandings, representations, or communications between you and Charlotte Arsenault INC. regarding the subject matter hereof. No amendments, modifications, or waivers to this Agreement shall be valid or binding unless made in writing and signed by Charlotte Arsenault Inc.

All notices, requests, demands, and other communications under this Agreement shall be in writing and properly addressed to Charlotte Arsenault Inc. as follows:

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of laws principles. Any legal suit, action, or proceeding arising out of or related to this Agreement or the transactions contemplated hereby shall be instituted exclusively in the federal courts of the United States or the courts of Canada in each case, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.

DISPUTE RESOLUTION

Any disputes arising out of or related to this Agreement or the use of our Services will be resolved through binding arbitration, in accordance with the rules of the American Arbitration Association, before a single arbitrator. The arbitration will be conducted in [Insert State]. Both parties agree to bear their own costs and expenses, including legal fees, associated with the arbitration.

SEVERABILITY
